On February 22, 2021, we announced in a press release that the Board of Directors appointed Phillippe Lord as a Class II Director on February 17, 2021. Mr. Lord has served as the Chief Executive Officer of Meritage Homes Corporation (the “Company”) since January 1, 2021.

ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGES IN FISCAL YEAR
On February 17, 2021, the Board of Directors of the Company adopted an amendment to Article II, Section 2 of the Company’s Amended and Restated Bylaws to increase the maximum size of the Board of Directors from nine to ten. A copy of the Amended and Restated Bylaws, as amended for the change described in this Form 8-K, is filed with this Form 8-K as Exhibit 3.1.
