ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
On August 13, 2021, the Company and Clinton Szubinski entered into an amended employment agreement. Pursuant to this agreement, certain provisions regarding the relocation benefits Mr. Szubinski is entitled to and the timeline and implication of relocation requirements were also modified.
The above description of Mr. Szubinski’s compensation arrangement is qualified in its entirety by the terms and conditions set forth in the employment agreement filed at Exhibit 10.1 to this Form 8-K, which is incorporated by reference herein.
ITEM 8.01 OTHER EVENTS
On August 12, 2021, our Board of Directors authorized the expenditure of an additional $100.0 million to repurchase shares of our common stock under the stock repurchase program that was previously authorized on February 13, 2019. There is no stated expiration for this program. The repurchases of the Company's shares may be made in the open market, in privately negotiated transactions, or otherwise. The timing and amount of repurchases, if any, will be determined by the Company's management at its discretion and be based on a variety of factors such as the market price of the Company's common stock, corporate and contractual requirements, prevailing market and economic conditions and legal requirements. The share repurchase program may be modified, suspended or discontinued at any time. The Company intends to retire any shares repurchased.
