Meritage Homes Announces Offering of $300 Million of Senior Unsecured Notes Due 2027

SCOTTSDALE, Ariz., May 22, 2017 (GLOBE NEWSWIRE) -- Meritage Homes Corporation (NYSE:MTH), a leading U.S. homebuilder, today announced its intention to offer, subject to market and other conditions, $300 million aggregate principal amount of senior unsecured notes due 2027 (the “notes”) to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States to persons other than U.S. persons in reliance upon Regulation S under the Securities Act.

Final terms of the notes, including the interest rate, maturity date and other terms, will be determined through negotiations between Meritage and the initial purchasers of the notes.

Meritage intends to use the net proceeds from the offering of the notes for repayment of outstanding borrowings under the Company’s unsecured revolving credit facility and for general corporate purposes, which many include, among other things, the repurchase, tender for or redemption of the Company’s 1.875% senior unsecured convertible notes due 2032.
